The role:

Support governance and company secretarial client work at all levels. This may include (but is not limited to) supporting or advising on:

  • Board Support, Minuting and collation & distribution of Board Packs
  • Annual reports
  • AGMs and general meetings
  • Maintaining all statutory and other registers for the company and its subsidiaries
  • Developing & maintaining an annual governance calendar for our clients
  • Governance/company secretarial projects e.g. M&A, share capital projects, implementing new governance frameworks, statutory compliance health checks, gap analysis on compliance with corporate governance codes;
  • Subsidiary governance, statutory compliance and entity management.
  • Working with the members of the Company Secretariat to ensure that the organisation complies with all law and regulation applicable to its business.
  • Build relationships and act as trusted adviser for the organisation’s business functions;
  • Promote and support the embedding of organisational governance processes, policies and procedures; and
  • Other administrative, logistical and company secretarial/governance support activities as required by the team from time to time.

Clients may include a variety of companies of different sizes which will change from time to time e.g. SMEs, large unlisted, listed (AIM, Main Market), Not for Profit and other organisations as work dictates.

Provide expertise that drive efficiencies, effectiveness and growth whilst safeguarding a client’s reputation.

Work may be on a project basis or ongoing compliance basis.

Complete filings with Companies House, the FCA and other regulatory bodies.

The role may involve travel to client’s offices to work in their location. Some flexibility to work from home/remotely may be possible subject to the needs of the client.

Skills:

CGI qualified (part-qualified considered)

Computer literate proficient in Word, Microsoft Outlook, Excel and the suite of Governance tools we may use.

Thorough and practical knowledge of Companies Act, UKLA requirements, corporate governance codes and associated legislation and regulations. Financial services or Energy experience, QCA Code and regulatory knowledge an advantage.

Strong track record on delivery of results and collaborative working. Confident and comfortable in new environments, build business relationships quickly.

Seeks out opportunities to innovate and is able to demonstrate evidence of developing and pursuing plans to completion with enthusiasm, passion and energy.
