Alaana Alphonso

Governance Advisor

Alaana is a Part-Qualified Company Secretary with five years of experience in corporate governance, predominately within the financial services industry. Alaana advises on the full spectrum of corporate governance matters, assisting clients with entity management and providing comprehensive board support.

Experience

Prior to joining Beyond Governance, Alaana worked with a wide range of organisation, including private equity firms, asset managers, a FT250 company, and family offices. She has delivered both transactional and advisory support and has extensive experience in board and board committee meeting management.

Alaana has previously supported on share capital management projects, statutory company compliance forlisted and private companies, and carry and co-invest schemes. She is well-versed in several governance software packages including, Diligent Entities, Board Intelligence and Blueprint OneWorld. Academically, Alaana holds Part-Qualified status with the Chartered Governance Institute (formerly ICSA) and has earned a Postgraduate Diploma in Legal Practice (LPC). Outside of her professional capacity, Alaana has served as secretary for her Residents’ Association.

With a background in professional services, Alaana easily adapts to different types of organisations. She has worked with private equity firms and investment managers to design and maintain entity compliance frameworks, ensuring seamless adherence to statutory requirements. Alaana’s keen commercial awareness enables her to quickly grasp industry norms and terminology, making her effective at minuting board and committee meetings. Alaana has also delivered internal training on legal drafting and the use of defined terms, highlighting understanding of the importance of clear, well-written minutes.

Subsidiary Governance

Alaana has successfully managed several subsidiary entity management projects, including incorporations, strike-offs, directorship changes, PSC/RLE updates, and entity name changes. Alaana is adept at advising on next steps in delicate, complex situations and delivering efficient solutions, particularly where shareholder approval is required.

Board and Committee Support

Alaana offers comprehensive board meeting support, assisting boards with the full range of responsibilities from setting annual meeting schedules and agendas to facilitating and minuting meetings, and managing post-meeting actions. She has also presented governance updates for boards wishing to stay informed on regulatory developments. In addition, Alaana has overseen the entire board pack preparation process, ensuring the timely provision of deliverables from other business functions. She is experienced in producing and distributing meeting packs both through dedicated software such as Board Intelligence and via hard copy distribution.

Capital Structuring

Alaana has undertaken several capital management projects, including share issuances, buybacks, inter-company loans and capital contributions. She consistently uses the confirmation statement filing requirement as an opportunity to perform an entity health check, ensuring that the register of members accurately reflects the company’s current structure. Additionally, Alaana has conducted workshops on the legal construct of different share classes and their implications on dividends.
