Experience

Prior to joining Close Brothers, Lisa held Company Secretarial Assistant positions at Broadway Malyan Limited, a global architecture, urbanism and design practice and Premier Foods plc, one of Britain’s largest listed food manufacturers. Previously she worked in an administrative role at Active Luton, a Community Wellbeing Trust.

Lisa also spent seven years in various roles at Aviva plc, a leading savings, retirement, and insurance business, where she progressed from data entry clerk to Team Manager. She has extensive experience in FTSE listed companies with expertise in a wide variety of company secretarial duties and intellectual property administration within the fast-moving consumer goods and financial services industries.

AGM Support

Lisa has provided extensive support to FTSE listed companies (Premier Foods and Close Brothers) in the planning, organisation and running of their AGMs including an AGM where a high turnout was anticipated at the last moment.  Lisa also oversaw the introduction of a hybrid AGM including trying to rectify the teething problems which arose.

Board & Committee Support

Lisa has been responsible for the production and distribution of Board and Committee packs, both in hard copy and via Diligent Boards. During the pandemic she also provided support to the Board of Close Brothers with the introduction of WebEx for meeting. Since joining Beyond Governance, Lisa has provided meeting support to Access Intelligence, Nephila, Ruffer and Marlborough. Her work for Nephila also included the production and distribution of Board and Committee packs.

Subsidiary Governance

Premier Foods and Close Brothers had a large number of subsidiary companies and it was her responsibility to ensure their compliance with Companies House filing requirements and maintenance of their statutory registers.

Share Scheme Administration

At Premier Foods, Lisa was responsible for administration of the allotment of shares under the SAYE scheme (working together with Equiniti), and at Close Brothers she was responsible for undertaking the required notifications for the Company’s BAYE scheme and supporting the Company Secretarial Assistant with administration of the SAYE scheme. Lisa also supported with the annual process of purchasing treasury shares to satisfy the Close Brothers SAYE scheme.
