Governance Director

Monique is versatile and commercially focused with significant experience working in company secretarial and governance functions. She has worked on a number of large merger and acquisition transactions as well as post-merger integration projects within organisations with cross jurisdictional listings and also organisations spanning multiple sectors. She also has extensive knowledge in the implementation, running and crystalisation of employee share schemes.

Experience

Monique has over 16 years’ experience in the governance field. Prior to joining Beyond Governance she was Company Secretary at Telford Homes Ltd (Previously AIM Listed), one of London’s leading developers. A role that was extended, following the take-over of Telford Homes by CBRE Group, Inc. to also include risk and compliance for the Telford group as well as leading the global compliance project work for CBRE.

During her time at RSA Insurance Group Plc Monique manged their global governance and assurance reporting framework.

Monique has reviewed and developed governance frameworks and embedded global governance principles that work in practice and comply with the differing international legal, regulatory, and cultural backdrop.

She has led multi-jurisdictional entity rationalisation programmes.

Merger and Acquisition Activity

Monique has worked on a number of multijurisdictional merger & acquisition transactions in varying capacities. Leading on the governance and risk function for the takeover of Telford Homes plc by CBRE Group Inc. as the standalone group company secretary.

She has also worked on a number of post transaction integration projects to ensure new ways of working are embedded along with supporting the cultural change element which inevitably follows large corporate transactions.

Employee Share Schemes

Monique has for most of her 16 year career in Governance been responsible for both discretionary and all employee share schemes across multiple jurisdictions including the design, structure and potential tax implications of setting up these schemes.

Monique’s adaptability has demonstrated her ability to provide best in class governance advisory support for interim roles.  Having taken a lead role in a number of projects, she can bring deep knowledge to the team and work efficiently with other to achieve goals within a timeframe.
