Catherine Norris-Haynes, CG (Affiliated)

Catherine’s expertise spans UK plc and large private company governance, with experience of the Companies Act 2006, the UK Listing Rules, Disclosure Guidance and Transparency Rules, Market Abuse Regulation and the Wates Principles for Large Private Companies.

She has extensive experience supporting Boards, Committees and executive leadership teams. Her work has included preparing agendas and Board papers, managing digital Board portals, drafting minutes and resolutions, maintaining annual meeting calendars and helping to ensure effective governance processes throughout the meeting cycle.

Catherine has also supported a wide range of listed-company requirements, including drafting regulatory announcements, managing insider lists and closed periods, processing share dealing requests and maintaining registers of directors’ interests, conflicts, PDMRs and persons closely associated. She has supported AGMs, shareholder communications, Non-Executive Director inductions and annual Board reviews.

Before joining Beyond Governance, Catherine held company secretarial roles at VodafoneThree and TalkTalk Telecom Group. At VodafoneThree, she supported the development of a newly formed company secretariat function, helping to implement governance policies and practices, maintain statutory records and respond to technical governance and compliance matters.

During almost a decade at TalkTalk, Catherine progressed from Company Secretarial Assistant to Senior Assistant Company Secretary. She supported the Board, Executive Committee and more than 40 UK subsidiaries, while working closely with the General Counsel, Company Secretary and senior members of the legal team. Her responsibilities included subsidiary compliance, Annual Report governance disclosures, regulatory announcements, corporate transactions, mergers and acquisitions and group reorganisations.

Her broader experience includes statutory filings, legal entity management, Delegations of Authority, KYC and ultimate beneficial ownership enquiries, Modern Slavery reporting and Payment Practices Reporting. She has also worked alongside finance teams on annual financial statements and reward teams on employee share scheme administration.

Earlier in her career, Catherine spent more than a decade with The Carphone Warehouse Group plc, supporting the General Counsel and in-house legal team. Her experience included Board administration, litigation management, employment and commercial legal support, and assisting the legal team during the company’s flotation on the London Stock Exchange.

Catherine has completed the CGI Foundation Programme and holds CGI-accredited qualifications in Employee Share Plans and Company Secretarial Practice and Share Registration. She is currently studying towards the CGI Qualifying Programme and also holds a CILEx Diploma for Legal Secretaries.

She combines practical governance knowledge, legal and regulatory awareness and strong delivery capability, enabling her to provide dependable and trusted support to Boards, governance teams and senior stakeholders.
