Joshua began his governance career as a Company Secretarial Assistant at Olam Food Ingredients, where he provided global entity management, subsidiary governance, and board and committee support. He then joined NEXT plc as a Company Secretarial Assistant, where he played a key role in maintaining strong domestic and international subsidiary governance, entity management, and board support. In addition, he supported the Group Secretariat in executing corporate governance, company secretarial practices, and shareholder requirements for the wider NEXT group.
With a strong working knowledge of UK company law and regulations, Joshua has executed a wide range of tasks related to the UK Corporate Governance Code 2024, the Companies Act 2006, UK Listing Rules, Disclosure Guidance and Transparency Rules, and Market Abuse Regulation. He is highly skilled in governance document drafting and review, board and committee support, AGM processes, insider list management, regulatory filings, stock exchange announcements, shareholder and investor engagement, and managing internal and external cross-functional relationships—including at the C-suite level—to ensure business continuity.
Joshua is also proficient in governance software, including Diligent Entities, GEMs, Board Intelligence, and Atticus.
Joshua has extensive experience managing UK and overseas subsidiary companies, ensuring corporate records remain accurate, regulatory filings are completed on time, and governance practices align with applicable laws and group-wide policies.
Joshua takes ownership of preparing and distributing Board and Committee packs, ensuring meeting logistics run smoothly. He proactively supports meetings, ensuring content accuracy, tracking action points, and facilitating effective decision-making. He also advises subsidiary board members on their responsibilities, providing governance and legal updates as needed.
Joshua has played a key role in a range of corporate governance projects, including AGMs, Terms of Reference reviews, board and capital restructures, company incorporations, insider list reviews, and annual report content reviews. He is highly proficient in producing and processing governance documentation to execute and accurately record corporate actions.
Joshua is experienced in preparing and submitting reports to regulatory bodies such as Companies House and the FCA and has extensive experience drafting London Stock Exchange announcements. With meticulous attention to detail, he ensures reports are accurate, consistent, and fully verified. He also leverages the reporting cycle as an opportunity to review and update both public and internal corporate records.
