Kathryn is a commercially focused and practical Governance Professional with over 25 years wide ranging company secretarial and governance experience, having spent her career predominantly with FTSE listed companies in the financial services and service provision sectors.

Experience

Kathryn has significant experience working with listed financial services and service provision sector companies where she has provided best practice advice and undertook many corporate transactions. Kathryn was the governance adviser to the Board and Company Secretary providing governance expertise in the run up to and following an IPO.  She led governance work on the corporate reorganisation for a FTSE 100 company prior to a demerger, delisting of a FTSE 250 insurance company and the sale of the life assurance subsidiary of a large mutual.

Kathryn specialises in the delivery of complex governance projects in the FTSE financial services and service provision sectors. Her wide-ranging experience, keen eye for detail and problem-solving skills enabled projects in these fast-moving environments to be completed within strict deadlines.  Amongst her roles she acted as the governance adviser to the Board and Company Secretary in relation to an IPO; she managed the sale of a life assurance business for a mutual, the delisting a FTSE 250 insurance company and the corporate reorganisation for a FTSE 100 company prior to a demerger.

Kathryn has developed, analysed and reviewed governance frameworks using her extensive experience, technical expertise and knowledge of best practice.  Her forward-thinking ability and organisational skills enable her to provide well thought out and practical solutions in a commercial manner.

Corporate Reporting

Kathryn brings extensive experience drafting governance reports for FTSE 100 and 250 companies particularly those in the financial services and service provision sectors. Kathryn drafted the first governance report for a FTSE 250 services company for the financial year immediately preceding their IPO with a view to their long-term requirements including future best practice disclosures.

Kathryn’s knowledge of best practice, technical expertise and efficiency ensures that she is always a valued member of the corporate reporting team.

Code Benchmarking

Kathryn’s knowledge of governance best practice, analytical approach and attention to detail provides a firm foundation for undertaking governance Code benchmarking exercises. 

Kathryn was responsible for the review and analysis of Matters Reserved to the Board and Board Committee Terms of Reference for a FTSE 100 in the financial services space following revisions to the Corporate Governance Code. She was commissioned to draft a report to the Board which made recommendations for appropriate documentation changes, which were fully accepted.
